These Terms of Use (the “Terms”) govern your access to and use of the websites, online store, and services operated by GOKUDO Studio, Inc. (“GOKUDO”, “we”, “us”, or “our”). By accessing the site or placing an order, you agree to be bound by these Terms in full. If you do not agree, do not use the site. This is sample template copy and not legal advice.
01 Acceptance of Terms
By browsing, registering, or purchasing through the site, you confirm that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy, which is incorporated here by reference.
These Terms constitute the entire agreement between you and GOKUDO regarding the site and supersede any prior agreement, representation, or understanding, whether oral or written.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
02 Definitions
For the purposes of these Terms, the following capitalised words carry the meanings set out below:
- Object
- A physical good designed and sold by GOKUDO, identified by a prototype designation (e.g. “PROTOTYPE·01”) and a unique number pressed into its sole.
- Run
- A single, finite production batch of an Object, closed permanently once signed. A Run does not restock.
- Register
- The notification list through which eligible users may be granted early access to a forthcoming Run.
- Content
- All text, imagery, typography, marks, and design elements made available on or through the site.
03 Eligibility & Accounts
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to place an order or join the Register.
You are responsible for maintaining the confidentiality of any credentials associated with your account and for all activity that occurs under it.
We may suspend, restrict, or terminate access to any account, at our sole discretion, where we reasonably believe these Terms have been breached.
04 Orders & Pricing
All prices are shown in United States Dollars (USD) unless stated otherwise and are exclusive of duties and taxes, which are calculated and displayed at checkout.
An order constitutes an offer to purchase. A contract is formed only when we issue a dispatch confirmation. We reserve the right to decline or cancel any order prior to dispatch.
In the event of a manifest pricing error, we may cancel the affected order and refund any sum paid, even after a confirmation has been issued.
Limited availability. Objects are produced in finite Runs. Placing an order in your cart does not reserve stock; allocation occurs only upon successful payment.
05 Numbered Editions & Authenticity
Each Object is individually numbered. The number identifies the Run and finishing order and does not denote investment value, rarity guarantee, or future resale price.
GOKUDO does not authenticate, appraise, or service Objects acquired through unauthorised resellers. Authenticity services are available only for Objects with a verifiable original record of sale.
Closed Runs do not restock. A subsequent Run is a distinct Object and confers no obligation toward holders of any prior Run.
06 Shipping & Risk of Loss
Title and risk of loss pass to you upon delivery to the carrier. We are not liable for delays caused by carriers, customs, or events beyond our reasonable control.
You are the importer of record for international shipments and are responsible for compliance with the laws of the destination jurisdiction.
07 Returns & Repairs
Unworn Objects in their original packaging may be returned within thirty (30) days of delivery for a refund or single size exchange, subject to the conditions published on the Support page.
Repair services are offered at our discretion for Objects with a verifiable original record of sale. Repairs are chargeable and quoted prior to commencement.
- Worn Objects are not eligible for refund but remain eligible for repair.
- Made-to-order and final-sale Objects are exempt from the standard return window.
- Return shipping for change-of-mind is borne by the customer unless the Object is faulty.
08 Intellectual Property
All Content, including the GOKUDO name, the 極 mark, typography, photography, and product design, is owned by or licensed to GOKUDO and protected by intellectual-property laws.
You are granted a limited, revocable, non-exclusive licence to access the Content for personal, non-commercial use. No right to reproduce, distribute, or create derivative works is granted.
09 Prohibited Conduct
You agree not to:
- Use automated means to purchase, scrape, or monitor the site or any Run.
- Acquire Objects principally for the purpose of unauthorised commercial resale.
- Misrepresent your identity, payment details, or shipping destination.
- Interfere with the security or integrity of the site or its underlying systems.
10 Disclaimers & Warranties
The site and all objects are provided “as is” and “as available”. To the maximum extent permitted by law, GOKUDO disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Nothing in these terms excludes any liability that cannot lawfully be excluded.
11 Limitation of Liability
To the maximum extent permitted by law, GOKUDO shall not be liable for any indirect, incidental, special, or consequential loss arising from your use of the site or any Object.
Our aggregate liability arising out of or relating to these Terms shall not exceed the amount you paid for the Object giving rise to the claim.
12 Governing Law & Disputes
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws principles.
Any dispute shall be resolved by binding arbitration seated in New York, save that either party may seek injunctive relief in a court of competent jurisdiction.
13 Changes & Contact
We may revise these Terms from time to time. Material changes will be indicated by the “Last revised” date above. Continued use after a revision constitutes acceptance.
